1. Legal Agreement & Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Facades Tech, its parent company, holding entities, subsidiaries, affiliates, successors, directors, officers, employees, and agents (collectively, "Facades", "Platform", "We", "Us", or "Our"). These Terms govern all access to and use of the facades.trade root domain, subdomains (including setups.facades.trade, simmer.facades.trade, fast.facades.trade), APIs, software interface utilities, and related digital services (collectively, the "Services").

2. Pure Software Utility Layer & Non-Fiduciary Status

Facades is strictly a software technology provider. Facades is NOT a registered broker-dealer, investment adviser, commodity trading advisor, financial planner, or financial institution under the laws of any jurisdiction.

• Facades does not hold, custody, or manage end-user funds, securities, or digital assets.
• Facades does not provide individualized financial, investment, tax, or legal advice.
• All modules—including Facade Matrix, Facade Simmer, and Facade Torque—are strictly for analytical, visual research, educational, and trade-routing interface purposes.
• You acknowledge that all trade orders routed through Facade Torque are transmitted directly to your third-party clearing broker of choice. You remain solely responsible for verifying order parameters prior to execution.

3. Derivatives Risk Disclaimer & User Responsibility

Options, futures, and derivatives trading involve substantial risk of financial loss and are not suitable for all investors. Past performance of options strategies or market volatility metrics displayed within the Platform does not guarantee future results. You agree that any trading decision or strategy execution made using Facades is undertaken at your sole discretion and risk.

4. Limitation of Liability & Hold Harmless

To the maximum extent permitted by applicable law, in no event shall Facades Tech, its holding entities, founders, or related corporate bodies be liable for any direct, indirect, incidental, consequential, special, or punitive damages—including loss of profits, trading losses, data corruption, network latency, system downtime, or broker execution delays—arising out of or in connection with your use of the Services.

5. Intellectual Property Rights

All software code, visual designs, brand assets, logos, monograms, schematic layouts, domain assets, and proprietary algorithms associated with facades.trade are the exclusive property of Facades Tech and its holding company. Unauthorized scraping, reverse engineering, or redistribution is strictly prohibited.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to conflict of law principles.
